These Terms of Service ("Terms") govern your use of IPComms telecommunications services. By using our services, you agree to these Terms.
1. Definitions
"Service" refers to SIP Trunking, Hosted PBX, phone numbers, and related telecommunications services provided by IPComms.
"Customer" refers to any individual or entity that subscribes to IPComms services.
"User" refers to any person authorized by Customer to use the Service.
2. Service Description
IPComms provides Voice over Internet Protocol (VoIP) telecommunications services including but not limited to SIP Trunking, Hosted PBX, phone number provisioning, SMS messaging, and related features. Services are delivered via the internet and require compatible equipment and adequate internet connectivity.
3. Account Registration
To use our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.
4. Payment Terms
Services are billed monthly in advance. Payment is due upon invoice. We accept major credit cards. Late payments may result in service suspension. All fees are non-refundable unless otherwise specified.
- Monthly recurring charges billed at the start of each billing period
- Usage charges (per-minute calls, SMS) billed in arrears
- One-time fees (setup, number porting) charged at time of service
- Grace period of 7 days for failed payments before service suspension
5. Cancellation Policy
Customers may cancel service at any time with 30 days written notice. Services remain active during the notice period. No refunds are provided for unused portions of prepaid services or remaining balance credits. Phone numbers may be ported to another carrier during the cancellation period.
6. Acceptable Use
Use of our services is subject to our Acceptable Use Policy. Prohibited uses include but are not limited to: illegal activities, spam, fraud, harassment, and activities that disrupt service for others.
7. E911 Emergency Services
IPComms provides E911 emergency calling services. Customer is responsible for registering accurate location information for each phone number. E911 service may have limitations compared to traditional 911 and may not function during power outages or internet disruptions.
8. Service Level Agreement
Service availability is subject to our Service Level Agreement. We target 99.99% uptime for voice services. Service credits may be available for qualifying outages.
9. Limitation of Liability
IPComms liability is limited to the fees paid for affected services during the period of service failure. We are not liable for indirect, incidental, special, or consequential damages. Total liability shall not exceed the amount paid by Customer in the 12 months preceding the claim.
10. Indemnification
Customer agrees to indemnify and hold harmless IPComms from any claims, damages, or expenses arising from Customer's use of the Service, violation of these Terms, or violation of any third-party rights.
11. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days in advance. Continued use of services after changes take effect constitutes acceptance of the modified Terms.
12. Governing Law
These Terms are governed by the laws of the State of Georgia, United States. Any disputes shall be resolved in the courts of Cobb County, Georgia.
